STAL SJAAK VAN DER LEI B.V.

1. General

1.1 These conditions apply to every offer from Stal Sjaak van der Lei B.V. with regard to the dose sale of stallions of frozen semen and sale of stallions of frozen semen according to a seasonal arrangement, hereinafter referred to as “Stal Sjaak van der Lei BV” and on every purchase agreement concluded between it and a buyer of stallions of frozen semen.

1.3 This version of the terms and conditions is valid from January 1, 2017.
1.4 The applicability of any general or specific terms and conditions of the buyer is expressly rejected.
1.5 Deviations from these provisions are only possible if and insofar as Stal Sjaak van der Lei BV has notified or confirmed this in writing.
1.6 Stal Sjaak van der Lei BV has the right to change these general conditions in the interim. In the event of ongoing sales agreements with the same buyer, Stal Sjaak van der Lei BV will inform the buyer concerned as soon as possible in the event of changes to the present general terms and conditions.

2. Offer

2.1 If an offer via the internet has a limited validity or is made subject to conditions, this will be explicitly stated in the offer.
2.2 The offer contains the size of the dose of frozen sperm or the offer of frozen sperm according to a gestation scheme.
2.3 The seasonal arrangement ensures insemination of one and the same mare during a certain year / breeding season, whereby the mare is inseminated up to 4 times with 2 straws of frozen sperm each time. If the mare is gust after the end of the breeding season, and has been inseminated a maximum of 4 times during this breeding season, there will be no (partial) refund of the purchase price. In the event of a seasonal arrangement, the mare must be inseminated at an insemination station of Stal Sjaak van der Lei BV; this can only be deviated from with written permission from Stal Sjaak van der Lei BV. The seasonal arrangement explicitly does not apply in situations where the mare is flushed for the purpose of embryo transplantation or other reproduction techniques, where the mare in question is used as a donor mare.
2.4 The number of straws per dose can be different per stallion. A dose always contains at least the amount of sperm needed for 1 insemination.
2.5 The price of the dose of frozen semen offered is stated excluding the sales tax and delivery costs owed by the buyer where applicable.
2.6 If the dose of frozen semen offered is (temporarily) not in stock, Stal Sjaak van der Lei BV will inform the buyer about this as soon as possible. The buyer cannot derive any rights from the supply of non-available stallion sperm.
2.7 Sjaak van der Lei BV can, if desired, mediate in obtaining birth announcements.
2.8 The buyer does not receive a sperm guide ticket or insemination certificate for each dose of frozen sperm. If semen comes from an international / EU desk station, a guide ticket or insemination certificate is included, provided that at least Stal Sjaak van der Lei BV has received the dose of frozen semen directly from this station.
2.9 Apparent mistakes and errors are not binding for Stal Sjaak van der Lei BV.

3. Payment

3.1 After the buyer has placed an order, the buyer will receive an invoice from Stal Sjaak van der Lei BV. After full payment of the invoice, the frozen sperm will be delivered. In the event of a seasonal arrangement, a different payment arrangement is possible insofar as this is stated in the offer on the website or if this has been explicitly agreed in writing with Stal Sjaak van der Lei BV

4. Delivery

4.1 Delivery of the dose of frozen semen takes place free of charge to insemination stations of Stal Sjaak van der Lei BV. For delivery to other addresses within the Netherlands, € 70 excluding VAT will be charged. Further arrangements can be made for delivery outside the Netherlands; in any case shipping and other export costs will be charged.
4.2 Stal Sjaak van der Lei BV excludes a possible right of withdrawal from the buyer that can be designated as a consumer, in view of the possible perishability of the frozen product.

5. Guarantees

5.1 Stal Sjaak van der Lei BV gives no guarantees on frozen semen.

6. Applicable law, disputes, competent court

6.1 All agreements between Stal Sjaak van der Lei BV and the buyer are governed by Dutch law.
6.2 If disputes cannot be resolved through amicable consultation, the dispute will be submitted to the competent court in the place of residence of Stal Sjaak van der Lei BV
6.3 All (extra) judicial costs that Stal Sjaak van der Lei BV must incur with regard to disputes against the buyer will be borne by the buyer, whereby the extrajudicial and judicial costs are determined according to the actual stal Sjaak van der Lei BV with regard to the dispute. amount paid, also insofar as these costs exceed the liquidated costs.
